The resident director meaning in one paragraph

A resident director is a member of a company's board who is resident in Mauritius. That is the whole idea. The company has people who run it, and at least one of them must be a person who actually lives in the country rather than someone who only appears on paper or sits abroad.

If you are asking what a resident director is because you are comparing structures, the short answer is that the label describes where the director is based, not what the director is allowed to do. A resident director has the same legal standing as any other director. The difference lies in the location requirement that the law attaches to certain company types.

This page explains the concept and the reasons behind it. For the detailed conditions, see resident director requirements, and for the wider picture of the role, the resident director overview.

What a resident director is not

Plain-English definitions are easier when you strip away common confusions.

  • Not a special category of director. There is no separate "resident" office with different powers. The person is a director, subject to the same directors' duties as the others.
  • Not a shareholder by default. Owning shares and sitting on the board are two different things. A resident director may hold no shares at all.
  • Not a nominee for the owners' secrets. The role does not exist to hide who owns the company. Ownership transparency is handled separately, through the beneficial ownership register.
  • Not a formality without exposure. A person who accepts the appointment accepts the responsibilities that go with it. See liability of a resident director.

Why the concept exists

Mauritian law uses the idea for several connected reasons. None of them is unusual; many jurisdictions use similar tests.

A named person to answer for the company locally

Authorities, banks and counterparties need someone within reach who can be held accountable for how the company is run. A resident director gives the company a decision-maker inside the country.

A link between the company and the place it says it is managed

Tax and regulatory status often turn on where a company is really run. Under section 73 of the Income Tax Act, a company is tax resident in Mauritius if it is incorporated in Mauritius or if its central management and control is in Mauritius. A company incorporated in Mauritius but centrally managed and controlled outside the country is treated as non-resident under section 73A, although it must still file an income tax return under section 116.

Directors who are present in Mauritius are one piece of evidence that decisions are taken locally. They are not the only piece, and having one does not settle the tax position by itself. Whether the facts support a given status depends on the company's circumstances and should be reviewed by an adviser.

A regulatory expectation for licensed structures

For companies that hold a Global Business Licence, the Financial Services Act makes local management explicit. When the Financial Services Commission (FSC) looks at whether a Global Business Company (GBC) is managed and controlled from Mauritius, it considers, among other things, whether the company has at all times at least 2 directors resident in Mauritius who are of sufficient calibre to exercise independence of mind and judgement. The words "at all times" were added by the Act 18 of 2025, in force from 9 August 2025.

A further criterion applies from 1 September 2026 under Act 13 of 2026: a GBC must ensure that its bank accounts are operated under a bank signatory arrangement that complies with guidelines issued by the FSC (section 71(3)(b)(vi) of the Financial Services Act).

How the requirement differs by company type

The official incorporation page for domestic companies sets out the headline position. The table below restates it in plain terms.

Criterion Domestic company Global Business / VCC Authorised Company
Resident directors At least 1 2 1 director, not necessarily resident
Shareholders At least 1 Per the licence regime Per the Authorised Company regime
Local agent Not a registered agent requirement FSC-licensed corporate service provider (Management Licence) administers the company Registered agent required
Where it is managed Wherever the board properly decides, subject to tax residence rules Managed and controlled from Mauritius Central management and control outside Mauritius

The law also draws a line between the two main cross-border vehicles. A GBC must be managed and controlled from Mauritius, carry out its core income-generating activities there, have 2 resident directors and be administered by an FSC-licensed corporate service provider (Management Licence). An Authorised Company, by contrast, must have its central management and control outside Mauritius, a Mauritian registered agent that is an FSC-licensed corporate service provider (Management Licence), and cannot carry on the activities listed in the Fourth Schedule of the Financial Services Act.

So the same word, "resident", does very different work depending on the structure. For a domestic company it is a minimum of local presence; for a GBC it is part of a broader test of where the company is genuinely run.

Resident director and tax residence are different questions

A frequent source of confusion is mixing up the director's residence with the company's residence, or with the director's personal tax position.

Are you asking about the company's own tax status?

Yes

Is the company incorporated in Mauritius?

Yes
It is tax resident under section 73, unless it is centrally managed and controlled outside Mauritius (section 73A).
No
It is tax resident only if its central management and control is in Mauritius.
No

Are you asking about an individual director's tax position?

Yes
Apply the individual residence tests in section 73 and take advice on your own facts.
No
You are asking about the board composition rule that applies to the company type.
Which question are you really asking?

For individuals, section 73 of the Income Tax Act treats a person as resident in Mauritius in three cases:

  • the person is domiciled in Mauritius, unless their permanent home is outside Mauritius;
  • the person was present in Mauritius for 183 days or more in the income year; or
  • the person was present for 270 days or more in total over the income year and the two preceding years.

These are tax tests for individuals. The board composition rule is a company-law and licensing question. A director may satisfy one and not the other, and the correct answer to either depends on the facts. This page does not decide that for you.

Proving residence for tax purposes

A person who wants to be certified as resident in Mauritius can apply to the Director-General of the Mauritius Revenue Authority (MRA) for a Tax Residence Certificate. It must be issued within 7 days of the application, provided that the required return (under section 112 or 116) has been filed and the service fee has been paid (section 73(2)-(3) of the Income Tax Act).

The Income Tax Regulations 1996, regulation 20A, set the fee at MUR 1 000 for an individual, USD 1 000 for a CIS and USD 200 in other cases.

What the appointment involves in practice

Without repeating the full checklist, a few practical points help you picture the role.

When a company is incorporated, the application (Form F1) is accompanied by documents about the directors, including a passport (and a residence permit where the sole director is a foreigner), proof of the director's address, and signed consents confirming that the director is not disqualified. The online form also asks for the identity and addresses of directors, the secretary and shareholders. The official guidance dates from 4 April 2025.

After incorporation, the director takes part in the life of the company: attending board meetings, signing resolutions, and reviewing accounts. A resident director who never participates gains little for the company and carries the risk described above. Questions of suitability are covered in the fit and proper test for directors and the pay arrangements in resident director fees.

Questions to ask before accepting or offering the role

  • Does the company type require a resident director, and how many?
  • Will the person have genuine access to information and the ability to take part in decisions?
  • Are the person's duties and liabilities understood in writing?
  • Is the person free of any disqualification or conflict?
  • Is the compensation arrangement documented?

Where the concept sits in the wider compliance picture

The resident director is one element of a company's ongoing obligations. The others include statutory records, accounts, tax filings and anti-money laundering controls, all of which are mapped in corporate compliance in Mauritius. If you are selecting outside help for the role or for administration, how to choose a corporate services provider sets out the points to compare.

Because the answer depends on the structure, the activities and the people involved, the information here is general. If you want an analysis of your own case, you can send a request through our form.

FAQ

What does resident director mean?

It means a director who is resident in Mauritius. The label refers to the director's location, not to different powers or duties. Where the law asks for resident directors, it is setting a minimum level of local presence on the board.

Does every Mauritian company need a resident director?

Not in the same way. According to the official domestic incorporation page, a domestic company requires at least 1 resident director and 1 shareholder, Global Business and VCC structures require 2 resident directors, and an Authorised Company needs 1 director who is not necessarily resident but must have a registered agent. Check the rule for your structure before appointing anyone.

Is a resident director the same as a nominee director?

No. "Resident" describes where the person lives. "Nominee" describes a person who acts on someone else's instructions. A resident director who is independent still owes the company the usual duties of a director and cannot hand decision-making to someone else.

Does having a resident director make my company tax resident?

Not by itself. A company is tax resident in Mauritius if it is incorporated there or if its central management and control is there (section 73 of the Income Tax Act). A company incorporated in Mauritius but centrally managed and controlled abroad is treated as non-resident (section 73A) but must still file a return under section 116. Which side your company falls on depends on the facts.

How is a person's residence tested?

For income tax purposes, an individual is resident if domiciled in Mauritius (unless their permanent home is abroad), or present for 183 days or more in the income year, or for 270 days or more across the income year and the two years before. These are tax rules; the board composition rule for a given company type is a separate matter.

Can a foreign national be a resident director?

The sources used on this page show that a sole foreign director must supply a residence permit with the incorporation application, which indicates that foreign nationals can act where they are resident. Whether a particular person qualifies depends on their status, so seek advice before relying on this.

Why does the FSC care about resident directors?

For a GBC, the presence of at least 2 resident directors with sufficient calibre to exercise independence of mind and judgement is one of the factors the FSC examines when it assesses whether the company is managed and controlled from Mauritius. It is a factor, and the overall assessment looks at more than the board.

Where can I find the detailed conditions?

They are in the page on resident director requirements and, for the underlying legislation, in the sources listed below.
