Holding Board Meetings by Video or From Abroad

A virtual board meeting in Mauritius can be valid, but only if the constitution allows it, quorum is met and the record is sound. This guide covers video meetings, directors abroad and the minutes.

A virtual board meeting in Mauritius is a board meeting in which some or all directors take part by video or telephone rather than in one room. Many boards now work this way, especially when directors live in another country. The format is a convenience; it does not relax any duty. The meeting must still be properly called, properly constituted and properly recorded.

This guide looks only at what changes when the board meets remotely. For the general mechanics of calling and running meetings, see Board Meetings of a Mauritian Company.

When is a virtual board meeting valid?

Validity rests on four questions. None of them depends on the technology itself.

  1. Does the constitution permit it? The constitution of the company (and any shareholders' agreement) may regulate how directors can attend. Some are silent, some expressly allow participation by electronic means, a few restrict it. Read yours before the first remote meeting.
  2. Can every director hear and be heard? A meeting is a collective discussion. If a director cannot follow the debate or cannot speak, that director has not truly taken part, and a decision taken in these conditions is open to challenge.
  3. Was notice given properly? Directors abroad need notice that reaches them in time, with the link or dial-in details and the papers. Time zones matter: a notice that fixes a time without naming the zone invites disputes.
  4. Is quorum present throughout? Quorum is counted among the directors participating in the meeting, and it must hold when each decision is taken, not only at the start.

If any of these fails, the safe answer is not to argue that the meeting was "close enough". Either hold it again or ratify the decisions in a way the constitution allows, for example by written resolution.

Quorum when directors are scattered

Quorum is the minimum number of directors who must take part for the board to act. The figure comes from the constitution, and a default may apply where the constitution is silent. This guide does not give a number because it depends on the document you hold.

Practical points for remote meetings:

  • A director counts toward quorum only while connected and able to take part. If a connection drops during a vote, note the time and check that quorum still exists.
  • Where a director has a conflict of interest, check whether that director can be counted for quorum on that item. See declaring a conflict of interest.
  • A chair who is abroad should be named in advance, and a deputy chair agreed in case of technical failure.

Directors outside Mauritius: what matters beyond validity

A board that meets by video does not change where a company is managed. But a board made up largely of non-residents raises different questions depending on the type of company.

Point Global Business Company (GBC) Authorised Company
Where management and control must sit In Mauritius Outside Mauritius
Resident directors At least 2 resident directors at all times No such requirement
Local service provider FSC-licensed corporate service provider (Management Licence) administers the company Registered agent in Mauritius (an FSC-licensed corporate service provider (Management Licence))
Effect on remote meetings Foreign directors may join by video, but the resident directors must genuinely exercise judgement and control Meetings abroad fit the model, with the registered agent keeping the filings and records

For a GBC, the Financial Services Commission examines whether the company has, at any time, at least 2 resident directors with enough competence to exercise independence of mind and judgement. The words "at any time" were added by Act 18 of 2025, in force on 9 August 2025. A virtual meeting where resident directors simply sign off decisions prepared elsewhere sits poorly with that test. Where a company is managed from is a separate question, covered elsewhere and not repeated here.

Tax residence follows a similar logic. A company is resident in Mauritius if it is incorporated there or if its central management and control is there (section 73 of the Income Tax Act). A Mauritian-incorporated company that is centrally managed and controlled outside Mauritius is treated as non-resident under section 73A, but it must still file a return under section 116. Where the board meets, and who actually takes the decisions, are facts the authorities may examine. Take advice before choosing a pattern for your own board.

From 1 September 2026, a further criterion applies to a GBC under Act 13 of 2026: its bank accounts must be operated under a bank-signatory arrangement that complies with FSC guidelines (section 71(3)(b)(vi) of the Financial Services Act). If a board approves banking resolutions by video from abroad, keep the signatory arrangement in mind when drafting them.

Setting up a remote meeting, step by step

  1. Check the constitution

    Confirm that attendance by electronic means is allowed and note any limits on quorum or voting.

  2. Send notice

    Give the date, the time with its time zone, the connection details and the board papers.

  3. Open and verify

    The chair confirms who is present, that all can hear and be heard, and that quorum exists.

  4. Take decisions item by item

    Record each vote, and re-check quorum if anyone joins or leaves.

  5. Sign and file the minutes

    Circulate the draft, have it signed by the chair, and store it with the company records.

Running a virtual board meeting

What the minutes must record

Minutes of a remote meeting follow the same rules as any other, with a few additions that protect the company if the meeting is questioned later. The full method is in How to Write Board Minutes Step by Step. For a virtual meeting, make sure the minutes also show:

  • that the meeting was held by video or telephone, and the platform or method used;
  • the date, the start and end times, and the time zone;
  • the name and location (country) of each director taking part;
  • confirmation that each director could hear and be heard;
  • the quorum position at the opening and for each decision, including any interruption in connection;
  • any conflict declared and how it was handled;
  • the decisions taken, with the votes cast;
  • who chaired and who took the minutes.

Minutes and resolutions are part of the statutory records and should be kept with them. Retention periods are explained in Company Records: What to Keep and for How Long. For some companies the registered agent holds minutes and resolutions as part of its duties under section 71A(8) of the Financial Services Act, which means it needs signed copies promptly.

Checklist before each remote meeting

  • The constitution allows participation by electronic means
  • Notice sent with the time zone, link and board papers
  • Quorum identified, with a note on any director who may have a conflict
  • Chair and fallback chair named
  • Secure platform tested, and a telephone fallback agreed
  • Papers shared by a channel that protects confidential data
  • Minute-taker briefed on the points listed above
  • Signature method for the minutes agreed

Confidentiality and personal data

Board papers contain personal data, commercial information and sometimes beneficial ownership details. Sending them abroad or storing them on an overseas platform is a transfer of personal data. Under section 36 of the Data Protection Act 2017, a controller or processor may transfer personal data outside Mauritius in particular where it has given the Commissioner proof of appropriate safeguards, or with the explicit consent of the person concerned after being informed of the risks. Check how your platform and document storage handle this, and limit access to directors and advisers.

Changes to the board

A remote board still changes. Any change of director or secretary, or in their particulars, must be notified to the Registrar within 28 days. Failure is an offence for each director and the secretary, with a maximum fine of Rs 200 000 (Companies Act, section 142). A director who joins by video and signs consents electronically should not delay the notification.

Common mistakes

  • Treating an informal call as a meeting without notice, quorum or minutes.
  • Taking a vote while one director's connection is down.
  • Recording a meeting as "held in Mauritius" when most directors were elsewhere.
  • Writing minutes weeks later from memory.
  • Letting resident directors approve decisions they have not read.

Directors remain bound by their duties wherever they sit. See Directors' Duties Under Mauritian Company Law. The wider routine is in the Compliance Calendar for a Mauritian Company.

FAQ

Can a Mauritian board meet entirely by video?

Often yes, if the constitution allows it and the procedure is followed: proper notice, quorum, and the ability of every director to hear and be heard. Check your constitution first. If the point is unclear, ask an adviser to review the document.

Do directors outside Mauritius count toward quorum?

Generally, a director who takes part in the meeting counts, subject to the constitution. For a GBC, the board must still include enough resident directors who genuinely exercise judgement, so quorum alone is not the only test.

Is a recording of the call enough instead of minutes?

No. A recording does not replace minutes. If you record, tell the directors, keep the file secure, and still prepare signed minutes.

Can a director vote after dropping off the call?

Not for the decisions taken while that director was disconnected. Pause, restore the connection, and if it cannot be restored, record the position and re-check quorum.

What if my company is an Authorised Company?

Its central management and control must be outside Mauritius, and a Mauritian registered agent handles filings and records. Meetings held abroad fit that model, but send signed minutes to the agent. Your adviser can confirm what applies to your structure.

Should I use a written resolution instead?

Where the constitution allows it and the matter does not call for discussion, a written resolution may be simpler. Board discussion is better for contested or complex decisions. To ask a licensed provider about your board set-up, use the contact form.
